Constitution 2024-2025


Preamble: As a not for profit organization, we associate ourselves together for the following purposes: Fellowship, Sportsmanship, and Conservation of Natural Resources.


Article 1

Section 1 The name of the organization shall be the "Cape Coral Bass Club".
Section 2 The headquarters of this organization shall be located in Cape Coral, Florida.
Section 3 The foundation date of this organization is 1980.


Article 2

Section 1 The purpose for which this organization is founded is set forth in the preamble.
Section 2 All members will have objectives that conform to the preamble.
Section 3 This organization is absolutely non-political and shall not be used for the dissemination of partisan principles nor promoting the candidacy of any person seeking public office.


Article 3 Eligibility
Section 1 Any person shall be eligible for membership in this organization who is a resident, or part time resident of Florida, and has objectives set forth in the preamble.
Section 2 Honorary members may be allowed in this club by a majority vote of membership.
Section 3 There shall be no form or class of membership except for active membership, and dues will be paid annually.


Article 4 Officers
Section 1 The officers of the organization shall be as follows: President, Vice President, Secretary, Treasurer, Sergeant at Arms, Tournament Director, Webmaster; no officer may hold more than one office at any given time.
Section 2 Officers of this organization shall be elected at the first regular club meeting in February and take office at the first regular meeting in March.
Section 3 The term of office for all officers shall be for one year or until their successor is elected and duly installed.
Section 4 In the event of vacancies in elected positions, the position will be filled by appointment by the executive committee for the rest of that term.
Section 5 An officer who does not attend three (3) consecutive regular meetings or executive committee meetings without the approval of the executive committee will be removed from office upon failure to attend the fourth such meeting.


Article 5
Section 1 The legislative power of this organization is vested in the membership thereof at regular or special meetings.
Section 2 This constitution may be amended at any regular club meeting by two-thirds (2/3) vote of all members present, provided that the proposed amendment shall have been presented at a previous regular meeting of this organization, and further provided that it is posted on the Club website at least ten (10) days in advance of the date when such amendment is to be voted upon.
Section 3 Proxies are permitted, if in writing, from members in good standing and on specified items coming up for vote. All proxies must be submitted at the opening of the regular meeting and recorded in the minutes; proxies do not constitute a quorum.


Article 6 Executive Committee
Section 1 Executive committee shall consist of the president, vice president, secretary, treasurer, sergeant at arms and fish committee chairman.
Section 2 Roberts Rules of Order shall be used as a guide to conduct all meetings with section 1, of article 1, or special rules or procedures adopted by the organization.



BY-LAWS 2024-2025


Article 1 Nominations
Nominations for club officers will be accepted from the members present at the January meeting each year. These nominations may either be oral or written ballot. These nominations will be published on the website prior to the February meeting. At the February meeting, the chairperson will call for any other nominations from the floor. Voting will take place at this meeting. Any candidate with a majority of the whole number of votes cast shall be declared the winner. If no person has such a majority, the vote will be taken again on the top two persons until there is a winner.


Article 2 Duties of the Officers
President: The president shall be the presiding officer and the executive head of the club. He shall be the chairman of the club’s executive committee. He shall be guided by the decision of the body of the club. He shall appoint all standing committees of the club with the approval of the executive committee. He shall perform any other duties that are usually incidental to the office.
Vice President: The vice president shall actively cooperate with the president of the club. He shall act as a representative of the president on all matters referred to him by the president. He shall preside at the meetings in the absence of the president. He shall be chairman of the membership committee.
Secretary: The secretary shall be in charge of assisting the president in his office and of the policies and mandates of the club and the executive committee. The secretary shall be the custodian of the records of all meetings, and perform any other duties that are incidental to the office.
Treasurer: The treasurer shall be the custodian of all funds. He shall deposit all funds in the name of the club in such depository designated and approved by the executive committee. He shall be in charge of collecting all monies, including dues and payments of bills as ordered. He shall report at each meeting of the month the following: previous balance, receipts, expenditures, and present balance. The books shall be open for inspection at the regular club meetings for all members. The books shall be subject to audit and the treasurer shall submit a consolidated report at the end of the fiscal year (February).
Sergeant at Arms: The sergeant at arms shall keep on file an authenticated copy of the club’s constitution, by-laws, and a copy of Roberts Rules of Order. He shall preserve order at all meetings and perform any other duties that may be assigned to him by the president. He shall be the custodian of emblems and insignias.
Executive Committee: The executive committee shall meet monthly. The president shall preside at this meeting and in his absence the vice president, secretary, treasurer, or sergeant at arms will preside in that order. They shall have the power to transact such business as may be necessary for the welfare of the club. The committee shall have the power to authorize or approve expenditures from the club’s finances. They shall make the interpretation of the club’s constitution and by-laws.


Article 3 Special Committees
The president shall appoint all special and standing committees with the advanced approval of the executive committee. Unless the president names a chairman of the committee or directs the committee to choose its own chairman, the first named member of that committee will be the chairman, except as otherwise provided for.


Article 4 Membership and Dues
The club shall be the sole judge of its own membership, subject to restrictions of national or state affiliation.
Dues that are not paid within (30) thirty days will be classified as delinquent. Participation in tournaments will not be allowed until delinquent dues are paid.
The member’s age at the beginning of the club year (March 1st) determines the qualification for either the Youth or Senior angler of the year awards.
Initial dues shall be as follows:
Team Trail Membership only – FULL YEAR $15.00 no discount for partial year
Single membership.
March 1st through February 28th $25.00
September 1st through February 28th $15.00
Family membership:
March 1st through February 28th $40.00
September 1st through February 28th $20.00
Family membership is husband, wife, and any children under the age of 18 and living at home.
Membership dues shall be determined by the body of the club.
Angler of the Year will be awarded FREE membership dues for the upcoming year only.


Article 5 Expenditures
No member, officer, or committee of the Cape Coral Bass Club shall have the authority to bind by contract or incur any obligation except with express authority of the executive committee in writing.
Payments of authorized expenditures shall be made by check and endorsed by one signature: the President, the Treasurer, and/or a third member of the executive committee.
Treasurer will have the authority to spend up to $50.00 per month on the club expenditures without prior approval. Expenditures over $50.00, with the exception of normal operations, must have approval by the membership.
Finances may be generated for the club by any legal means.


Article 6 Meetings
Regular meeting of the Cape Coral Bass Club shall be held on the first Tuesday of each month at Nemo's Sports Cafe, 42 Mid Cape Terrace, Cape Coral, Florida.
Quorum for a regular meeting shall consist of a minimum of (10) ten members of which (3) three are officers in good standing.
A special meeting may be called by the president upon written application signed by at least (10) ten members of the club in good standing and such application shall set forth the purpose of the special meeting.


Article 7 Amendment
These By-Laws may be amended at any regular club meeting by (2/3) two-thirds vote of the membership present, providing the proposed amendments have been posted on the Club website at least (5) five days prior to the regular meeting that the change will be voted upon.


Article 8 Boat Insurance
All members will, at all times, maintain boaters insurance with a minimum liability coverage of $100,000. Upon signing an application to become a member, the member will be required to show proof of insurance. If insurance is not provided and/or lapses, a member will not be in good standing and will not be allowed to participate in any club events/tournaments.
